On July 2, 2008, Fidelity National Information Services, Inc. (NYSE: FIS) completed the spin-off of Lender Processing Services, Inc. (NYSE: LPS). FIS is a leading global provider of core processing, e-payments, item processing and card processing solutions to financial institutions, retailers and government entities. On a pro forma basis, including the eFunds acquisition, FIS generated revenue of $3.3 billion during 2007. Lender Processing Services (LPS) is now an independent company and the nation's leading provider of integrated data, servicing and technology solutions to large-scale mortgage lenders.
Explaining the rationale for the spin-off, William P. Foley, executive chairman of FIS stated, "FIS and LPS each have strong competitive positions, robust organic growth track records and excellent potential for future growth. However, they are distinct and unique businesses that serve different customers, operate in different markets, and attract different investors. We believe the separation will provide more company flexibility and dedicated management focus with respect to product development, capital investment and strategic initiatives, which should ultimately drive higher value to our customers and shareholders."
Also, the integration of ClearCommerce into Certegy was recently completed. All ClearCommerce functions including Sales, Product, Development and Customer Support & Operations now report directly into the functional organizations within Certegy. This enables ClearCommerce to draw on substantially deeper resources in all areas which will accelerate product development effort and enable us to better service our customers. Over the coming weeks, Certegy management will be reaching out to customers to introduce the organization and seek feedback on a range of important topics.
